1. Agreement

By accessing or using the cluwise service ("Service"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

cluwise provides a financial runway tracking tool that helps you visualize your cash runway and payroll risk. The Service connects to your Stripe account for revenue data and Plaid for bank account data, and uses this information to generate insights and projections.

3. Account and Eligibility

You must create an account to use the Service. You agree to:

Provide accurate and complete registration information
Maintain the security of your password
Accept responsibility for all activity under your account
Be at least 18 years old or the age of majority in your jurisdiction

4. Third-Party Integrations

The Service integrates with Stripe and Plaid. Your use of these integrations is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of these third-party services. You authorize us to access and use your data from these services as permitted by your authorization and their terms.

5. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of any laws
Attempt to gain unauthorized access to the Service or related systems
Interfere with or disrupt the Service or servers
Use the Service to transmit malware or harmful code
Resell, sublicense, or commercially exploit the Service without permission
Use automated means to access the Service without our consent

6. Intellectual Property

The Service, including its design, features, and content (other than your data), is owned by cluwise and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7. Your Data

You retain ownership of your data. By using the Service, you grant us a limited license to process, store, and display your data as necessary to provide the Service. Our use of your data is governed by our Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THE FINANCIAL INSIGHTS AND PROJECTIONS PROVIDED BY THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE FINANCIAL, LEGAL, OR TAX ADVICE. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS FOR DECISIONS BASED ON THIS INFORMATION.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLUWISE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

11. Changes

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which cluwise operates, without regard to its conflict of law provisions.
